RNDC finds buyer for Indiana operations
By Rupert Hohwieler
A buyer has emerged to take over the assets of US distributor Republic National Distributing Company (RNDC) in Indiana.
Houston-headquartered Morales Beverage Group (MBG), a subsidiary of Morales Capital Group, has submitted a letter of intent (LOI) to acquire the business, which is held in a joint venture with National Wine & Spirits (NWS).
The deal is expected to close in the fourth quarter, subject to approval from the US Bankruptcy Court for the Southern District of Texas and other closing conditions. RNDC voluntarily began a Chapter 11 bankruptcy process with the court on 26 July.
Breakthru Beverage had initially signed an LOI to acquire RNDC’s Indiana operations, along with its Kentucky assets, in May this year. The deal, however, fell through.
A Breakthru spokesperson had said: “Following a thorough due diligence process, Breakthru has decided not to move forward with the acquisition of Republic National Distributing Company’s interests in Kentucky and Indiana. Breakthru remains committed to strategic growth and will continue to pursue opportunities that further strengthen its leading position in total beverage distribution.”
Louisville-based KEG 1 River City (K1RC) has since emerged as a new buyer for the Kentucky business.
If the transaction comes through, MBG’s distribution footprint would expand to six states, including Texas, Florida, California, Louisiana and South Carolina. Morales Beverage Group represents over 9,000 brands and also sells to distributors in all 50 US states.
The deal would encompass all of RNDC’s Indiana beverage assets and operations, and continue its business supplier and customer relationships across the state.
Chairman of Morales Capital Group, Eduardo Morales, said: “We believe this potential transaction will enable us to better serve our customers and invest for continued growth. The potential addition of Indiana will both expand our footprint and reinforce our commitment to being a long-term partner in every market we serve.
“To MBG, the potential transaction represents an opportunity to bring together two longstanding family legacies in the beverage distribution industry. The Morales family, the driving force behind MBG’s rise, and the LaCrosse family, whose leadership has defined NWS for generations, may join forces under a single, expanding platform.
“We are excited about the possibility of welcoming the RNDC Indiana business and team to MBG and intend to bring more resources, more stability and more opportunities to the Indiana market.”
Chairman of NWS, Jim LaCrosse, added: “We’re thrilled to welcome MCG to Indiana and about the future partnership as we continue to serve our suppliers and customers across the state.”
The Spirits Business has reached out to RNDC for comment.
RNDC was once the second biggest distributor in the US, behind Southern Glazer’s.
Since its exit from California in September 2025, RNDC’s footprint and operations in the US have fallen apart. The distributor has also exited Oregon, Washington, and Illinois, and completed sales of a further 11 states to Reyes Beverage Group and 17 control states to Martignetti Companies.
