The Secretary of State’s Business Services Division maintains records for corporations, limited liability companies, limited partnerships and limited liability partnerships, along with related filings. Below are answers to the most common questions about the Kansas business search, based on information published by the Kansas Secretary of State. What is the Kansas Secretary of State business search? It is an online database operated by the Kansas Secretary of State that allows users to search business records maintained by the state. The database contains more than 300,000 names, according to the Secretary of State. Because of the size of the database, search results are limited to the first 200 matches. Where can I find the official Kansas business search? The official search is available through the Kansas Secretary of State’s website. Kansas Secretary of State Business Search Users should rely on the state-operated database rather than third-party websites when they need the official Kansas business record. What can I search for? The Kansas database provides three principal search options: - Business name - Kansas Secretary of State Business ID - Current resident agent name For a business-name search, users can choose between “Contains” and “Starts With.” How do I search for a Kansas LLC? Enter the LLC’s legal name in the business-name field and select the appropriate search option. If you do not know the complete name, the Secretary of State recommends using a keyword. The state says that using a less-common word can produce more useful results than entering a common term that may generate too many matches. Kansas requires LLCs and other covered business entities to register with the Secretary of State. Can I search by Kansas business ID? Yes. The Secretary of State assigns a business identification number to registered entities. That number can be used to locate the corresponding business record. The state specifically warns that the Kansas business ID is not the same as a federal employer identification number, or FEIN. When searching by business ID, users should enter the number without dashes or spaces. Can I search for a business by its registered agent? Yes. The official database allows a search by the current resident agent name. The resident agent is responsible for receiving legal documents and other communications for the business. Kansas guidance says a resident agent can be an individual, a Kansas-registered business or, in circumstances permitted by law, the business itself. What is a resident agent? A resident agent is the person or entity designated to receive legal documents for a business. The Kansas Secretary of State says the registered office must be a Kansas address where the resident agent may be regularly present. The address must include the building number, street, city, state and ZIP code and cannot be a P.O. box. What information can I find about a Kansas business? The Secretary of State maintains business-entity records and supporting documents, including records associated with: - Corporations - Limited liability companies - Limited partnerships - Limited liability partnerships - Mergers - Dissolutions - Cancellations - Withdrawals - Information reports The office also issues authority for foreign, or non-Kansas, businesses to conduct business in the state. Can I use the business search to check whether a company is legitimate? The database can help verify whether a business entity is registered with the Kansas Secretary of State, but the search should not be treated as a complete assessment of a company’s legitimacy, financial condition or reputation. The Secretary of State is primarily a filing agency. The office explicitly says it does not provide legal guidance and recommends consulting an attorney or accountant for legal or professional advice. What if I cannot find a company? There are several possible explanations. The Kansas Secretary of State says a business may not appear because it has not filed in Kansas. It may also be a: - Sole proprietorship - D/B/A - Assumed name - Fictitious name - Trade name Those types of businesses do not file with the Kansas Secretary of State in the same manner as registered business entities. Therefore, failure to find a business in the database does not automatically mean that the business does not exist. Can I check whether a business name is available? Not with the regular business search. The Kansas Secretary of State specifically warns that the business database should not be used to determine whether a proposed business name is available. Kansas uses different search logic for name availability. The Secretary of State directs prospective businesses to conduct a separate Name Availability search. Kansas Secretary of State Name Availability Search Why does the Kansas Secretary of State have a separate name-availability search? A normal business search is designed to locate existing business records. A name-availability search applies different criteria to determine whether a proposed business name may be used. The Secretary of State therefore says that simply searching the business database and finding no matching name does not produce an accurate name-availability result. How many businesses are in the Kansas database? The Secretary of State currently describes the database as containing more than 300,000 names. Because the database is so large, the online search limits results to the first 200 matches. This is why a broad search for a common word may not be useful. A more distinctive keyword can narrow the results. Do Kansas sole proprietors have to register with the Secretary of State? No. The Kansas Secretary of State says corporations, LLCs, LLPs, LPs and other entities formed under the Kansas General Corporation Code must register. Foreign business entities doing business in Kansas must also register. General partnerships are not required to register, although they may file a Statement of Partnership Authority. Sole proprietors do not register with the Kansas Secretary of State. Do foreign companies have to register in Kansas? Generally, foreign business entities doing business in Kansas must register with the Kansas Secretary of State. The state distinguishes between Kansas domestic entities and foreign, meaning non-Kansas, entities. The Secretary of State’s registration page provides separate procedures and forms for foreign businesses. Can I find a business’s resident-agent information? Yes. The business search can be used to identify the current resident agent and registered office associated with a business record. Kansas requires businesses to maintain a resident agent and registered office, and the information is part of the Secretary of State’s business records. Can the Kansas Secretary of State act as an agent for service of process? In certain circumstances, yes. Kansas law allows the Secretary of State’s office to act as an agent for service of process involving certain corporations, LLCs, limited partnerships and limited liability partnerships when statutory requirements are met. For example, one condition may involve an unsuccessful attempt to serve the entity’s resident agent at the registered office, or the entity’s failure to maintain an active resident agent in Kansas. Are Kansas business filings public records? Yes. The Secretary of State states that documents filed with its office are considered public records and may be available online. The office also maintains a process for requesting public records under the Kansas Open Records Act. Can I change information about a Kansas business? Yes. Available filings include changes involving business names, resident agents and registered offices, among other amendments. What is the difference between a Kansas business ID and an EIN? The Kansas business-search system specifically states that its business ID is not the FEIN. Can I use the Kansas business search to investigate a company? Yes, as a starting point.
